Legal Counsel

Role Overview

The Legal Counsel serves as the primary legal resource, overseeing all legal matters related to treasury operations, contracts, service-provider relationships, compliance, and governance. The role plays a critical part in ensuring that operations remain legally sound, compliant, and aligned with community-driven decisions.

This position strengthens the entity’s role as a trusted executor for decentralized governance by upholding high standards of transparency, accountability, and regulatory awareness.

Key Responsibilities

Contracts & Agreements

• Draft, review, and negotiate agreements with employees, service providers, grant recipients, incentive partners, and investment counterparties
• Define and maintain SLAs with protocol teams and partners involved in treasury or incentive operations
• Develop standardized templates, legal documentation, and negotiation guidelines

Regulatory & Compliance

• Oversee compliance across treasury activities, grants, and investments
• Track regulatory developments affecting DAOs, digital assets, and decentralized finance
• Provide legal risk assessments and mitigation strategies in response to emerging regulations

Governance & Entity Support

• Support corporate governance activities, including filings and compliance obligations
• Provide research and legal guidance on new ecosystem-aligned business initiatives
• Coordinate with oversight committees to ensure transparency in legal operations
• Advise on structuring proposals or treasury activities to reduce legal risk

Stakeholder Collaboration

• Partner with operations leadership to implement governance decisions
• Engage with external counsel, auditors, or regulators as needed
• Deliver clear and accessible legal guidance to contributors, delegates, and community stakeholders

Qualifications / Skillset

Required

• Law degree (J.D., LLM, or equivalent) and eligibility to practice in at least one jurisdiction
• 4–6+ years of experience in corporate law, contracts, or regulatory compliance
• Strong understanding of corporate legal frameworks and procedures
• Knowledge of blockchain, DAOs, or digital-asset environments
• Proven ability to draft and negotiate agreements efficiently
• High professional ethics, judgement, and integrity
• Strong communication skills with the ability to explain legal concepts to non-lawyers
• Comfortable operating independently as the lead legal authority in a complex, evolving regulatory landscape

Preferred

• Experience with grants, investments, or treasury processes
• Familiarity with decentralized governance and on-chain decision-making
• Previous work experience in distributed or international teams
• Exposure to financial regulation, securities law, or cross-border structuring
